1. Acceptance of Terms
By creating an account, accessing, browsing, or using the Aupero software-as-a-service platform (the “Service” or “Aupero”), or by clicking to accept these Terms when prompted during registration, you agree to be bound by these Terms of Service (“Terms”).
If you are entering into these Terms on behalf of a company, studio, agency, or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity as well as to individual authorized users accessing the Service under the organization’s account.
If you do not agree with any part of these Terms, you must not access or use Aupero.
2. The Service & Operating Entity
Aupero is a specialized workspace and client collaboration platform designed for digital agencies, creative studios, consultancies, and their clients. It provides centralized tools for project roadmaps, milestone tracking, file sharing, intake forms, project conversations, and client portal visibility.
Current Legal Operator Notice:
Aupero is operated and maintained by Aupero Software SARL, a Togolese company and startup (NIF: 1002053591) with physical business operations located at Zossimé–Nanégbé, Lomé, Togo.
Legal inquiries, formal notices, and communications regarding these Terms should be addressed directly to [email protected].
3. Eligibility and Authority
Aupero is exclusively intended for commercial, professional, and business use. You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to register for an account and use the Service.
By using Aupero, you represent that:
- You have full power and legal capacity to enter into these Terms.
- Your registration information is truthful, accurate, and complete.
- Your use of Aupero does not violate any applicable law or regulation in your jurisdiction.
4. Accounts, Authentication & Security
To access workspace features, you must register for an account by providing your name, valid email address, and a secure password, or by using an authorized single sign-on provider (such as Google OAuth).
Our authentication infrastructure includes email verification, password reset capabilities, and session management. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that take place under your account.
You agree to notify Aupero immediately at [email protected] if you suspect or discover any unauthorized access or compromise of your account credentials. Aupero will not be liable for any loss or damage arising from your failure to safeguard your login information.
5. Organizations, Workspaces & Administration
Aupero operates around organization workspaces. When an agency creates an organization, the account holder or designated administrators hold administrative authority over that workspace:
- Workspace Administration: Administrators control organization settings, branding information (logo and display name), project allocations, and billing configurations.
- Member Invitations & Roles: Administrators may invite team members, assign role-based permissions, and remove or deactivate access at their discretion.
- Data Control: Administrators have visibility into and governance over all projects, milestones, files, forms, and discussions created under that organization’s workspace.
If your account was provisioned or invited by an organization administrator, that administrator has administrative control over your workspace membership and may restrict, suspend, or revoke your access to workspace resources.
6. Client Access & The Client Portal
Aupero allows agencies to record client contacts and invite clients to a dedicated, branded client portal. Client access is restricted to the specific projects, milestones, intake forms, deliverable files, and discussions that the agency explicitly shares with or assigns to that client.
Agencies are solely responsible for:
- Selecting which clients receive invitations and portal access.
- Ensuring that project files, milestone notes, and form briefs shared in the client portal are appropriate for client visibility.
- Managing client permissions and deactivating access when a client engagement terminates.
Clients accessing the portal agree to abide by these Terms, including the Acceptable Use Policy.
7. Product Scope & Current Capabilities
These Terms accurately govern the current functional scope of the Aupero application. The platform provides:
1. Projects & Milestones
Creation and management of client-associated projects, status tracking, project descriptions, start dates, and due dates. Milestones with sequencing, progress indicators, notes, and client-facing visibility controls.
2. Files & Deliverables
Upload, storage, download, deletion, replacement, and preview of project assets organized into folders. Supported formats include images, PDF documents, ZIP archives, videos, and design documents.
3. Intake Forms
Publishable custom forms to gather briefs and specifications from clients. Supported field types include short text, long text, number, email, phone, select dropdowns, multi-select, file uploads, and dates.
4. Project Discussions
Project-bound conversations, replies, user mentions, read status, and file attachments. (Aupero does not provide arbitrary direct messaging; discussions are associated with designated projects).
5. Activity Logs & Notifications
Automated activity logging for milestone completion, asset uploads, form responses, comments, and client invitations, with delivery via in-app notifications and transactional emails.
Notice: Aupero does not currently offer artificial intelligence (AI) processing, public developer APIs, standalone CRM pipelines, predictive project analytics, or automated third-party app directory integrations. Features are provided strictly as implemented.
8. Acceptable Use Policy
You agree to use Aupero only for lawful, professional business purposes. You agree not to engage in, attempt, or facilitate any of the following prohibited activities:
- Unlawful Activity: Using the Service for any fraudulent, defamatory, harassing, or otherwise illegal purpose or in violation of any applicable local, national, or international law.
- Infringing Content: Uploading, distributing, or storing files, documents, or assets that infringe the intellectual property, copyright, trademark, trade secret, or privacy rights of any third party.
- Malware & Security Tampering: Introducing viruses, worms, Trojan horses, or other malicious code; attempting to probe, scan, or test the vulnerability of Aupero systems; or attempting to breach authentication or security measures.
- Unauthorized Access & Scraping: Accessing or attempting to access workspaces, data, accounts, or systems belonging to other organizations without authorization; or utilizing automated crawlers, bots, or scrapers to extract data from the Service.
- Service Disruption: Interfering with, disrupting, or imposing an unreasonable or disproportionately large load on the infrastructure, networks, or servers hosting Aupero.
- Abuse & Spam: Sending unsolicited promotional materials, mass spam emails, or deceptive communication through Aupero form or notification channels.
Aupero reserves the right to investigate and take appropriate action, including immediate suspension or termination of your workspace, if you violate this Acceptable Use Policy.
9. User Content & Ownership
You Retain 100% Ownership of Your Content:
Aupero does not claim any ownership rights over the files, project briefs, milestone descriptions, form responses, discussions, graphics, or documents that you or your clients upload, transmit, or store on the Service (“User Content”). All title, ownership, and intellectual property rights in your User Content remain exclusively with you and your licensors.
You represent and warrant that:
- You own or have secured all necessary licenses, permissions, consents, and legal rights to upload, share, and manage your User Content on Aupero.
- Your User Content does not violate any third party’s copyright, trade secret, privacy, or contractual rights.
- You and your organization are solely responsible for the legality, accuracy, quality, and integrity of your User Content.
10. Limited License to Aupero
To provide the Service to you and your clients, you grant Aupero (Aupero Software SARL) a worldwide, non-exclusive, royalty-free, limited license strictly to host, copy, store, process, display, transmit, and reformat your User Content solely to the extent necessary to:
- Operate, maintain, and deliver the workspace and client portal functionality.
- Generate previews and thumbnails of uploaded project assets.
- Deliver project notifications, invitations, and form submissions.
- Perform backups, prevent security incidents, and ensure data redundancy.
This license terminates when your User Content is deleted from the Service, subject to standard automated backup overwrite cycles. Aupero will never use your User Content for marketing, advertising, or training artificial intelligence models.
11. Third-Party Integrations
Aupero allows organizations to optionally connect external cloud storage providers:
- Google Drive: You may connect a Google Drive account to import or link assets. Aupero accesses only the files and scopes explicitly authorized during OAuth consent and strictly interacts with your Google Drive data as necessary to provide the storage integration. Aupero does not have unrestricted access to your personal Google account.
Aupero may introduce additional third-party integrations in the future (such as Microsoft OneDrive or alternative cloud storage providers). When you choose to connect any integration, the applicable permissions and information exchanged with that provider will be disclosed as part of the integration experience. Third-party providers are governed by their respective terms and privacy policies.
12. Subscriptions and Billing
Paid tiers of Aupero are offered as recurring subscriptions (monthly or annual billing periods) at the prices published on the Aupero pricing page or presented during subscription checkout.
Payment Processing via Dodo Payments:
Subscription billing and payment transactions are processed securely through our payment provider, Dodo Payments. Aupero does not directly process, handle, or store full credit card numbers or sensitive payment-card credentials.
Aupero receives only the transaction identifiers, customer identifiers, subscription status, and billing cycle dates necessary to manage your workspace plan.
You are responsible for providing valid, current, and complete payment and billing information. By subscribing, you authorize recurring billing according to your selected plan until your subscription is cancelled in accordance with these Terms.
13. 7-Day Free Trial
New organization accounts may be eligible for a 7-day free trial to evaluate Aupero features with real client projects and team members.
- Trial Duration: The free trial period is strictly seven (7) calendar days from the date of workspace creation.
- Eligibility: Eligibility for a free trial is determined by Aupero and may be limited to one trial per organization or domain. Aupero reserves the right to modify, restrict, or discontinue trial availability at any time.
- End of Trial Transition: If payment details are collected or required to continue after the trial period, that requirement will be clearly disclosed at the point of signup or checkout. If you do not activate a paid subscription before the expiration of the 7-day trial, your workspace access may be paused until a paid plan is selected.
14. Cancellation and Refunds
You may cancel your subscription at any time directly through your organization workspace billing settings or the Dodo Payments customer portal.
Upon cancellation, your subscription remains active until the end of your current paid billing period (monthly or annual). You will continue to have full access to your workspace until the billing cycle concludes.
Unless required by mandatory consumer protection law in your jurisdiction or explicitly agreed in writing by Aupero, payments are non-refundable once billed, and no credits or prorated refunds are issued for partial billing cycles or unused workspace capacity.
15. Suspension and Termination
By You: You may terminate your account at any time by cancelling your active subscription and requesting workspace deletion via [email protected].
By Aupero: Aupero may suspend or terminate your account or access to the Service immediately, upon notice where practicable, if:
- You breach any provision of these Terms or the Acceptable Use Policy.
- Your subscription fees fail to process after reasonable payment retries.
- Your use poses a security risk to the Service or other users.
- Aupero is required to do so to comply with applicable law or a binding court order.
Upon termination, your right to access the Service terminates, and your data will be queued for deletion in accordance with our data retention practices.
16. Intellectual Property Rights
As between you and the operator, Aupero, the Aupero logo, brand identity, visual designs, interfaces, code, databases, documentation, and all software components powering the Service are the exclusive intellectual property of Aupero Software SARL and its licensors, protected by copyright, trademark, and other intellectual property laws.

17. Feedback
If you choose to submit suggestions, feature requests, ideas, or feedback regarding Aupero (“Feedback”), you grant Aupero an unrestricted, irrevocable, perpetual, royalty-free right to use, incorporate, and commercialize that Feedback without any obligation of confidentiality, attribution, or financial compensation to you.
18. Service Availability & Modifications
Aupero strives to maintain high availability and reliability for all workspaces and client portals. However, you acknowledge that the Service is provided over the internet and may experience unplanned interruptions, server downtime, network latency, or scheduled maintenance.
Aupero reserves the right to update, modify, enhance, or discontinue features of the Service from time to time to improve performance, user experience, and security. We will provide reasonable advance notice for any significant deprecation of core functionality where practicable.
